These Terms form a legally binding agreement between Trustbase LTD (“we”, “us”, “our”) and you. Our Privacy Policy explains how we process personal data submitted to or collected through ReviewGlass.

1. Definitions

  • Services: The reviewglass.com website, dashboards, widgets, public business profiles, APIs, and related tools.
  • Business: A legal entity that maintains a ReviewGlass account, dashboard, and/or public profile.
  • Reviewer: An individual who submits reviews or evidence on a Business’s public profile.
  • User Content: Reviews, ratings, comments, media, attachments, verification documents, and feedback you submit.
  • Verification Evidence: Files or data used to substantiate a review (e.g., receipts, invoices, emails, order IDs).
  • Widgets: Embeddable components that display ratings, reviews, or trust signals on third-party sites.

2. Scope & Acceptance

By accessing or using the Services, you agree to these Terms. If you use the Services on behalf of a Business, you represent that you are authorized to bind that Business. If you do not agree, do not use the Services.

3. Accounts & Eligibility

  • Business accounts. Each Business enters into a subscription plan individually negotiated and tailored to its specific requirements. Access includes dashboards, settings, widgets, and analytics.
  • Reviewer access. Reviewers do not maintain profiles on ReviewGlass. They can only submit reviews on Business public pages. Verification Evidence is mandatory at the time of submission, and we may request additional evidence later.
  • Accurate info. You must provide accurate, current information and keep it updated. You are responsible for activity under your credentials.
  • Age & capacity. You must have legal capacity to form a contract under applicable law.

4. Permitted Use

Use the Services only as permitted by law, these Terms, and any documentation or usage limits we provide. We may monitor usage for abuse, security, and quality, and we may suspend or terminate access that violates these Terms.

5. Reviewer Terms

  • Genuine experiences. Reviews must reflect your own authentic experience with the Business.
  • Evidence. A review cannot be submitted without Verification Evidence (e.g., receipt, invoice, email, order ID). Redact sensitive data (e.g., full card numbers). Do not upload illegal content. Additional evidence may be requested at a later stage.
  • Compensation & conflicts. If you received an incentive or have a material connection to the Business, you must disclose it clearly in the review, if such incentives are permitted under applicable law and our policies.
  • No impersonation or misrepresentation. Do not submit reviews on behalf of others without permission or fabricate experiences.
  • Right to contact you about your review. We or the reviewed Business (via our platform) may reach out for clarification or additional evidence. Your contact details will be handled per our Privacy Policy.

6. Business Terms

  • No manipulation. You will not create, purchase, coerce, gate, suppress, or selectively solicit reviews in a misleading manner. Invitations must target real customers after a confirmed purchase or legitimate account event.
  • Right of reply. You may respond to reviews through your dashboard, following our community guidelines.
  • Evidence requests. You may flag reviews for verification. We will assess flags and may request additional information from reviewers and/or you.
  • Use of data. You may use aggregated ratings, snippets, and widgets per these Terms and the applicable license (see Section 10). Do not alter or misrepresent ratings or reviews.
  • Compliance. You are solely responsible for your compliance with marketing, consumer protection, and advertising laws in jurisdictions where you operate.

7. User Content & License

  • Ownership. You retain ownership of your User Content.
  • License to us. You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, adapt (formatting/moderation), distribute, publicly display and perform, and otherwise use your User Content to operate, improve, and promote the Services.
  • Verification Evidence. Evidence is used for verification and moderation. We do not publicly display verification files; we may store them for as long as necessary to administer the review and comply with legal obligations.
  • Representations. You represent you have all rights to submit the content, and that it is accurate and lawful.

8. Content Standards & Prohibited Conduct

  • Unlawful, defamatory, harassing, hateful, obscene, or privacy-invasive content.
  • Impersonation, fraud, or attempts to subvert verification.
  • Posting third-party personal data without consent (e.g., doxxing).
  • Interfering with security, reverse engineering, or scraping at scale without written permission.
  • Using the Services to build a competing product or for undisclosed benchmarking.

9. Verification, Moderation & Removals

We may verify reviews, request or review evidence, apply labels, and remove or decline content that violates these Terms or law. We may provide Businesses and Reviewers with tools to resolve disputes and to update or clarify reviews. We are not obligated to explain moderation decisions but may do so at our discretion.

10. Intellectual Property; Widgets & API License

  • Our IP. The Services (software, designs, trademarks, databases) are owned by us or our licensors.
  • Widget/API license. Subject to an active subscription and compliance with these Terms, we grant Businesses a limited, revocable, non-transferable, non-sublicensable license to embed our widgets and use our API solely to display unmodified ReviewGlass content and metrics on your properties. You may not obscure branding, manipulate ratings, cache beyond documented limits, or remove links to source profiles.
  • Takedowns. Report alleged IP infringement via our contact form. We may remove content in response to valid notices.

11. Subscriptions, Billing & Payments (Businesses)

  • Plans. Business access requires a subscription plan individually tailored and agreed upon (monthly or annual), plus applicable taxes.
  • Payment methods. We accept standard methods such as credit/debit cards, bank transfers, Stripe, and cryptocurrency. Some methods may not be available in all regions.
  • Processors. Payments are handled by third-party processors; we do not store any payment details.
  • Auto-renewal. Subscriptions renew for successive terms unless cancelled per Section 12.
  • Price changes. We may change prices for future terms with reasonable advance notice.
  • Failed payments. If payment fails, we may suspend or limit access until resolved.

12. Cancellations, Downgrades & Refunds

  • Cancellation. You can cancel at any time to stop future charges at the end of the current billing period.
  • Refunds. We do not offer refunds, except where required by law or expressly stated in your order form.
  • Downgrades. Downgrades take effect at the next renewal unless otherwise agreed.
  • Trials. If a trial is offered, it will convert to a paid plan unless you cancel before the trial ends.

13. Data Protection & Privacy

We process personal data according to our Privacy Policy. If your Business requires a data processing addendum, please contact us.

14. Third-Party Services & Links

Integrations and links are provided for convenience. We do not control and are not responsible for third-party content, terms, or privacy practices.

15. Disclaimers

The Services are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted or error-free operation or that content is accurate or reliable.

16. Limitation of Liability

To the maximum extent permitted by law, Trustbase LTD and its affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, or goodwill. Our aggregate liability for claims relating to the Services is limited to the amounts you paid for the Services in the 12 months preceding the event giving rise to the claim.

17. Indemnification

You will defend, indemnify, and hold harmless Trustbase LTD and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Services, your User Content, or your violation of these Terms or applicable law.

18. Suspension & Termination

We may suspend or terminate access for breach, suspected abuse, non-payment, legal compliance, or to protect users or the Services. You may stop using the Services at any time. Sections that by their nature should survive (including ownership, license, payment obligations, disclaimers, limitations of liability, indemnities, governing law, dispute resolution, and survival) will survive termination.

19. Governing Law & Venue

These Terms are governed by the laws of [Jurisdiction to be confirmed], without regard to conflict-of-laws rules, unless a mandatory law provides otherwise. The exclusive venue for disputes will be the courts located in [City/Region to be confirmed], unless otherwise required by law.

20. Dispute Resolution

  • Informal resolution. Before filing a claim, the parties will attempt to resolve disputes informally within 30 days after written notice.
  • Class actions & jury trial. To the extent permitted by law, both parties waive participation in class or representative actions and waive jury trial.
  • Injunctive relief. Either party may seek injunctive relief in a court of competent jurisdiction to prevent imminent or ongoing harm.

21. Changes to the Terms

We may update these Terms from time to time. Material changes will be indicated by updating the “Last updated” date and, where appropriate, by additional notice (e.g., in-product or email notice). Continued use after changes means you accept the updated Terms.
